1. Products & Orders
1.1. Product specifications, descriptions, and prices published on our website are for informational purposes and are subject to change without prior notice.
1.2. An order is deemed accepted and becomes a binding agreement upon our issuance of a written order confirmation or, for standard products, upon successful payment processing. We reserve the right to review, accept, or decline any order, particularly for customized or large-quantity items.
1.3. All orders are contingent upon product availability.

2. Payment
2.1. Full payment is required to initiate order processing.
2.2. Accepted payment methods are displayed during the checkout process.
2.3. All prices are quoted and payable on an EXW (Ex Works, Incoterms® 2020) basis at our designated premises. The customer bears all costs and risks related to shipping, import duties, taxes, and customs clearance.

3. Delivery & Risk Transfer
3.1. Delivery is completed, and title and risk of loss or damage to the products pass to the customer, when the products are made available at our designated warehouse or factory (EXW).
3.2. The customer is responsible for arranging and bearing all costs of transportation, insurance, and logistics from the EXW point.
3.3. Estimated delivery or readiness dates are provided in good faith but are not guaranteed. We are not liable for delays caused by factors beyond our reasonable control.

4. Returns, Refunds & Warranty
4.1. Due to their specialized nature, all sales of industrial automation equipment are final. No returns or refunds are accepted for change of mind, ordering errors, or compatibility issues.
4.2. Our sole and exclusive obligation for any product with a confirmed quality defect is governed by our separate Refund Policy (Warranty). This policy outlines the procedure for reporting issues and the remedies such as repair or replacement of parts. This Refund Policy is incorporated into these Terms by reference.

5. Limitation of Liability
5.1. To the maximum extent permitted by law, our total liability arising from or in connection with any order shall not exceed the purchase price of the specific product giving rise to the claim.
5.2. We shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, production downtime, or costs of substitute equipment.
5.3. The customer assumes full responsibility for ensuring that the products ordered comply with all applicable import regulations, safety standards, and laws in the destination country.

6. Intellectual Property
6.1. All content on this website (including text, graphics, logos, and product images) and the products themselves are protected by intellectual property rights owned by or licensed to us. No material may be reproduced without our prior written consent.

7. General Provisions
7.1. Governing Law & Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles. Any disputes shall be submitted to the exclusive jurisdiction of the competent courts in Zhuanghe City, Dalian, Liaoning Province.
7.2. Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
7.3. Entire Agreement: These Terms, together with any attached specifications or the Refund Policy, constitute the entire agreement between the parties regarding the subject matter herein.
